Please read these Terms of Use ("Terms") carefully. They govern the use of the Regina website and the general rules under which we provide information about our services. When a specific project is subject to an individual offer, contract, or assignment, the terms in this document apply together with what has been agreed for the respective project.
In these Terms, "Regina," "we," "us," and "our" refer to "REGINA HERBAL" LTD, UIC 204660493, with its registered office and management address at 17 Topolite Str., 9350. "Client" means a natural or legal person who submits an inquiry, accepts an offer, or commissions a service from Regina.
- About Regina and the scope of services
Regina is a web design and web development studio/agency. Depending on the specific offer, we can provide services such as UX/UI design, website creation and redesign, Shopify development, landing pages, technical setup, integrations, basic optimization, maintenance, and other related digital services.
The exact scope, functionalities, deadlines, price, and included revisions for each project are determined in a written offer, contract, assignment, email confirmation, or other document accepted by the parties.
- Inquiries, offers, and commissioning
Sending an inquiry through the site does not oblige Regina to start work and does not, in itself, constitute a concluded contract. A project is considered commissioned after the acceptance of a specific offer/contract and, where applicable, receipt of an agreed advance payment.
An offer is valid for the period specified therein. If no period is specified, the offer is valid for 14 days from the date of dispatch.
- Client obligations
The Client undertakes to timely provide all materials, access, texts, images, product information, brand guidelines, feedback, and approvals that are necessary for the execution of the project.
The Client guarantees that they have the right to use the materials provided by them and that these do not infringe on the rights of third parties. Regina is not responsible for claims arising from materials, content, or instructions provided by the Client.
- Deadlines and delays
Deadlines begin to run after the fulfillment of the preliminary conditions described in the offer or contract — for example, receipt of an advance payment, provided materials, and necessary access.
If the Client delays the provision of information, feedback, or approval, the execution period may be extended by the corresponding period and with a reasonably necessary time for rescheduling the work.
- Design, revisions, and scope changes
The number of included revisions is determined in the specific offer. "Revision" means a correction within the already agreed scope, not the addition of new pages, features, integrations, or a substantially new design direction.
Work outside the agreed scope may be estimated separately and may require additional time and cost. Regina informs the Client before commencing significant additional work.
- Prices and payment
Prices and payment methods are specified in the specific offer or contract. Unless otherwise agreed, the project may be divided into advance and final payments or into separate stages.
Regina has the right to suspend work on a project for overdue payment until the outstanding amount is settled, to the extent permitted by applicable law and the specific contract.
- Domains, hosting, and third-party services
Domains, hosting, Shopify plans, paid applications, fonts, stock assets, payment operators, and other external services may be provided by third parties and may be subject to their own terms and fees.
Unless expressly agreed otherwise, these fees are not included in Regina's price. We cannot guarantee the continuous operation of external platforms, services, or integrations that we do not control.
- Intellectual property
Until the full payment of the agreed remuneration, all rights to the materials produced by Regina remain with Regina, unless otherwise agreed in writing.
Upon full payment, the Client receives the rights to use the final materials to the extent described in the specific offer or contract. Rights to preliminary concepts, unselected variants, internal tools, libraries, know-how, and third-party materials are not transferred, unless expressly agreed.
Regina may display completed projects in portfolios, case studies, and professional channels, unless the parties have agreed to confidentiality or an explicit prohibition.
- Project approval and handover
Before publication or handover, the Client has the opportunity to review the project and signal any discrepancies from the agreed scope. After written approval or publication, the project is considered accepted, except for hidden technical issues that could not reasonably have been identified upon acceptance.
The period for technical warranty/corrections after publication is 30 days from the handover date, unless otherwise specified in the specific offer or contract.
- Post-publication maintenance
Ongoing maintenance, content changes, new functionalities, application updates, and technical administration after project completion are not included, unless separately agreed.
- Project termination
The terms for termination, amounts due, and handover of work performed to date are regulated in the specific offer or contract.
Upon termination, the Client pays for work already performed and agreed upon, as well as pre-approved non-refundable expenses to third parties, to the extent permitted by applicable law.
- Liability
Regina exercises reasonable professional care in performing the services. We do not guarantee a specific commercial result, search engine ranking, number of sales, visits, or revenue, unless such a result is explicitly undertaken as a contractual obligation.
We are not responsible for problems caused by changes made after handover by the Client or third parties, nor for interruptions or changes in third-party services beyond our control.
Nothing in these Terms excludes or limits rights or liability that cannot be excluded or limited under applicable law.
- Confidentiality
The parties undertake not to disclose non-public business, technical, or commercial information obtained in connection with a project, except when this is necessary for the performance of the services or is required by law.
- Personal data
The processing of personal data through this site is governed by our Privacy Policy. When Regina processes personal data on behalf of a client in the performance of a project, the parties may conclude a separate data processing agreement, when necessary.
- Consumers
If the Client is a consumer within the meaning of applicable law, all their mandatory legal rights remain in force. These Terms do not limit rights that cannot be limited by contract.
(Note: If you enter into contracts with individuals remotely, it is advisable, after legal consultation, to add specific text regarding the right of withdrawal, the commencement of the service before the expiration of the withdrawal period, and applicable exceptions. I left this as a note because it requires legal judgment.)
- Force Majeure
Neither party is liable for delay or non-performance caused by circumstances beyond its reasonable control, such as natural disasters, infrastructure disruptions, actions of government authorities, war, large-scale cyber incidents, or other similar events.
- Changes to these Terms
We may update these Terms when necessary due to changes in services, business processes, or applicable law. The current version is published on this page with the date of the last update indicated.
- Applicable law and disputes
The law of the Republic of Bulgaria applies to these Terms, unless a mandatory legal norm provides otherwise. The parties will first strive to resolve any dispute arising through good faith negotiations.
The competent court is determined according to the applicable mandatory rules for jurisdiction and consumer protection.
